Terms of Service
Last updated: 13 August 2026
These terms govern the use of Review & Referral (the "Service"), provided by Collaborative Business Development Limited, a company registered in the United Kingdom with its registered office at 37 Provender House, Waterloo Quay, Aberdeen, AB11 5BS ("we", "us", "our"). By creating an account, you ("you", "your", the "Customer") agree to these terms.
1. The Service
Review & Referral lets you send review and referral requests to your own contacts by SMS and email, and track the responses. You're responsible for the accuracy of the contact details you upload, and for making sure you have a proper basis to contact the people you add — see section 4 below.
2. Accounts
You need an account to use the Service. You're responsible for keeping your login details secure and for all activity that happens under your account. Let us know straight away if you think your account has been compromised.
3. Subscriptions, billing, and cancellation
Paid plans are billed monthly in advance and renew automatically until cancelled. Top-up packs are one-off purchases that add extra SMS and email credit on top of your plan, and any unused top-up credit carries forward and doesn't expire. You can cancel your subscription at any time from Settings — cancelling closes your account and stops billing immediately, but we don't refund any part of a billing period you've already paid for. Prices are shown in the app and may change from time to time; we'll give you reasonable notice of any price change before it applies to you.
4. Acceptable use
You agree to only add contacts you have a legitimate right to message — for example, your own customers or clients — and to comply with all applicable laws on electronic marketing and data protection (including UK GDPR and the Privacy and Electronic Communications Regulations) when doing so. You must not use the Service to send unsolicited messages, spam, or content that's unlawful, abusive, or misleading. The Service includes an opt-out link on every message; you must not attempt to circumvent it or message anyone who has opted out. We may suspend or terminate accounts that breach this section.
5. Your data and content
You own the contact and business data you put into the Service. You're responsible for its accuracy and for having the right to use it. We process it on your behalf as described in the Data Processing Agreement in section 9 below, and in our Privacy Policy.
6. Availability
We aim to keep the Service available and reliable, but we don't guarantee it will be uninterrupted or error-free, and we may need to carry out maintenance or updates from time to time.
7. Referral offers
The Service lets you set up an optional incentive — such as a cash amount, a percentage, or a voucher — to offer contacts who refer someone who becomes a new customer of yours. Any referral offer you set up is entirely your own commitment to your contacts, and you are solely responsible for honouring it, including deciding when a referral qualifies and issuing whatever you've offered. The Service only displays the offer you've configured to the person being referred and records that it was shown; it does not fund, administer, process payment for, or otherwise fulfil any offer on your behalf. We're not liable for any offer you set up not being honoured, or for any dispute between you and a contact about one.
8. Liability
The Service is provided on an "as is" basis. To the fullest extent permitted by law, our total liability to you arising from your use of the Service is limited to the amount you've paid us in the 12 months before the claim arose, and we're not liable for indirect or consequential losses. Nothing in these terms limits liability that can't legally be limited, such as liability for death or personal injury caused by negligence, or fraud.
9. Termination
You can close your account at any time from Settings, which permanently and immediately deletes your account and all associated data. We may suspend or terminate your account if you breach these terms, including the acceptable use rules in section 4.
10. Data Processing Agreement
This section applies where we process personal data on your behalf as part of the Service — for example, the details of the contacts you add — and forms the data processing agreement required under UK GDPR Article 28.
- Roles. For the personal data of your contacts, you are the controller and we are the processor. We only process that data to provide the Service to you and on your documented instructions (given by using the Service's normal features), unless required to do otherwise by law.
- Subject matter, duration, and purpose. We process your contacts' names, email addresses, and/or phone numbers, and message activity records, for as long as your account remains open, solely to send the review and referral requests you configure and to record the responses.
- Confidentiality. Anyone we authorise to process this data is subject to a duty of confidentiality.
- Security. We maintain appropriate technical and organisational measures to protect the data, as described in our Privacy Policy.
- Sub-processors. We use the following sub-processors to provide the Service: Supabase (database hosting), Vercel (application hosting), Twilio (SMS delivery), and Resend (email delivery). You consent to our use of these sub-processors. We'll update this list and let you know about any material change.
- Assistance. We'll help you respond to requests from your contacts to exercise their data protection rights, and notify you without undue delay if we become aware of a personal data breach affecting your contacts' data.
- Deletion. When you close your account, all contact data is permanently deleted immediately as part of that process. You can also delete individual contacts at any time from within the app.
- International transfers. Where any sub-processor transfers data outside the UK, we ensure appropriate safeguards are in place, as described in our Privacy Policy.
11. Changes to these terms
We may update these terms from time to time. If we make significant changes, we'll let you know, and the "Last updated" date above will always reflect the most recent version. Continuing to use the Service after a change takes effect means you accept the updated terms.
12. Governing law
These terms are governed by the laws of England and Wales, and any disputes will be subject to the exclusive jurisdiction of the courts of England and Wales.
